These Terms of Service (“Terms”) govern your access to and use of our website, as well as the enterprise Data Engineering, Agentic AI Automation, and Startup Advisory services we provide. By accessing our site or engaging our services, you agree to be bound by these Terms.
1. Scope of Services
TnY Systems is a specialized consultancy delivering production-grade MLOps, cloud-native data architecture, and autonomous AI ecosystems.
Service Focus: Our offerings are strictly focused on Data Engineering execution, infrastructure modernization, and Startup Advisory.
Exclusions: We operate exclusively as an engineering and advisory firm; we do not provide technology staffing, staff augmentation, or recruitment placement services.
2. Proof of Concept (POC) and Service Guarantees
We stand behind our engineering rigor with specific engagement models designed to mitigate client risk.
Zero-Risk POC: For eligible enterprise engagements, we offer a Proof of Concept phase. If the mutually agreed-upon Phase 1 success criteria are not met, the client incurs no financial obligation for that phase.
30-Day Guarantee: Any architectural anomalies or critical defects in our code identified within the first 30 days of a production deployment will be resolved immediately at no additional expense to the client.
3. Intellectual Property Rights
We respect your proprietary assets while protecting our foundational engineering frameworks.
Client Ownership: Upon full payment of applicable fees, the client retains full intellectual property ownership of the final, custom-developed data pipelines, Agentic AI configurations, and specific deliverables created during the engagement.
TnY Systems Ownership: TnY Systems retains all rights, title, and interest in our pre-existing The TnY Framework, proprietary methodologies, base code, and underlying algorithms used to accelerate deployment. We grant the client a perpetual, non-exclusive license to use these underlying elements strictly as integrated into the final deliverables.
4. Data Security and Compliance
Because we architect data fabrics for enterprise clients, security and compliance are integrated into our foundational designs.
Client Obligations: Clients must ensure they have the legal right and necessary consents to share any data, logs, or telemetry with us for algorithmic structuring or cleansing.
Our Obligations: We commit to handling all data in accordance with our Privacy Policy and applicable North American mandates, including PIPEDA, Quebec Law 25, CCPA, and NIST standards. We employ AES-256 encryption at rest and TLS 1.3 in transit.
5. Limitation of Liability
While we engineer highly governed, low-latency data pipelines, we cannot control external ecosystem failures.
To the maximum extent permitted by applicable law, TnY Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, use, or goodwill, resulting from your access to or use of our services.
In no event shall our total aggregate liability for any claims arising under these Terms exceed the total amount paid by you to TnY Systems in the three (3) months preceding the event giving rise to the liability.
6. Governing Law and Dispute Resolution
These Terms and any related engagements are governed by the laws of the specific jurisdiction where we are headquartered.
Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
Disputes: Any legal action or proceeding arising under these Terms will be brought exclusively in the courts located in Ontario, Canada, and the parties hereby irrevocably consent to the personal jurisdiction and venue therein.
7. Modifications to the Terms
We reserve the right to modify or replace these Terms at any time to reflect updates to our service offerings or regulatory changes. We will provide notice of significant changes by updating the date at the top of this page. Your continued use of the website or services following the posting of any changes constitutes acceptance of those changes.
